dc.description.abstractEnglish: In the current economic climate, where more and more companies find themselves under financial strain, an effective business rescue system is essential. A system is needed which affords the company an opportunity to once again become a successful concern and carry on business on solvent grounds. South Africa's business rescue provisions is contained in the Companies Act 71 of 2008 and is known as business rescue proceedings. These proceedings replace the previous rescue model, judicial management, contained in the 1973 Companies Act. Judicial management was largely unsuccessful as a rescue model. This is mainly due to factors such as the fact that judicial management was to a great extent dependant on court proceedings, that the court turned it into an extraordinary remedy and the that liquidators were appointed as judicial managers. The new business rescue system notes various improvements to its predecessor and indicates the development of a true rescue culture in South African law. Some of these improvements are: the court acts more in a supervisory capacity than before, the system is more easily available and more accessible to companies undergoing financial difficulties and the business rescue practitioner should have experience in turnaround practice according to the new Act. A few problematic aspects could, however be noted. If rectified it could provide all interested parties with a valuable remedy. The true efficacy and success of the new business rescue proceedings would only be determinable after being tried and the possible practical shortcomings have been identified and corrected.en_ZA
dc.description.abstractAfrikaans: In die huidige ekonomiese klimaat waar al hoe meer maatskappye onder finansiële druk verkeer, is 'n effektiewe besigheidsreddingstelsel van onskatbare waarde. 'n Stelsel wat die maatskappy die geleentheid bied om weer 'n suksevolle onderneming te word en op 'n solvente grondslag handel te dryf, is nodig. Suid-Afrika se besigheidsreddingsmodel word in die Maatskappywet 71 van 2008 vervat en staan bekend as ondernemingsreddingsverrigtinge. Hierdie verrigtinge vervang die vorige reddingsmodel, geregtlike bestuur, soos vervat in die 1973 Maatskappywet. Geregtelike bestuur as besigheidsreddingsmodel was grootliks onsuksesvol as gevolg van verskeie faktore, soos die feit dat geregtelike bestuur afhanklik was van 'n groot mate van hofbetrokkenheid, dat dit deur die howe in 'n buitengewone remedie omskep is en dat likwidateurs as geregtelike bestuurders aangestel is. Die nuwe ondernemingsreddingstelsel toon verskeie verbeterings op sy voorganger en dui op die ontstaan van 'n ware reddingskultuur in die Suid-Afrikaanse reg. Die verbeterings is onder andere: die hof tree ingevolge die nuwe stelsel meer in 'n toesighoudende hoedanigheid op, die stelsel is makliker beskikbaar en meer toeganklik vir maatskappye in finansiële nood en die ondernemingsreddingspraktisyn moet ingevolge die nuwe Wet ondervinding in besigheidreddingspraktyk hê. Daar bestaan egter 'n paar problematiese aspekte, maar indien dit aangespreek word, behoort die nuwe stelsel 'n waardevolle remedie vir alle belanghebbende partye van die maatskappy daar te stel. Die ware effektiwiteit en sukses van die nuwe ondernemingsreddingsverrigtinge sal egter eers beoordeel kan word namate dit in die praktyk beproef is en die moontlike praktiese tekortkominge daarvan uitgewys en reggestel kan word.en_ZA
